Artist warrants and represents: (1) that artist is the sole and exclusive owner of all rights granted herein, (2) that the sound recordings submitted by artist contain only new or original performances and no "samples"; (3) that no material submitted by artist will violate any law, or violate or infringe upon the rights of any person (including, without limitation, contractual rights, intellectual property rights, publicity and/or privacy rights, and (4) that artist is under no disability, restriction or prohibition with respect to artist's right to execute this agreement. Artist's submittal of their materials to our company [to be / and is] posted on this site automatically constitutes an agreement. Artist agrees to indemnify and hold harmless Dead Men Records/ Dead Men Productions and its successors, assigns, agents and licensees from any claim, liability, cost and expense arising from a claim that is inconsistent with these warranties and representations. You represent and warrant to Dead Men Records that you have valid legal title to all copies and titles and all the necessary rights to distribute the copies and titles to perform this agreement. At our option, you will replace or except the return of any copy or titles that does not comply with these representations and warranties. Expenses (including, without limitation, attorneys' fees) arising from/or against the artist. Further, you will indemnify and hold us harmless from all claims, damages, and breach of any representations or warranties contained in this section.
